LICENSE AGREEMENT

This legal document is an agreement (hereinafter referred to as the "Agreement") between you, the Flipper Graph Demonstration Web Service LICENSEE, and ProWorks Corporation ("ProWorks").

Within this Agreement, the term Software refers to the collection of ProWorks software and services comprised of the Flipper Graph Demonstration Web Service and its associated Flipper Graph Demonstration Web Service User Access Kit electronic download package, whether delivered by electronic download or in physical media. The term Hosted Software shall refer to the Flipper Graph Demonstration Web Service which is hosted on ProWorks systems. The term Access Software shall refer to the Graph Demonstration Web Service User Access Kit.

LICENSE

ProWorks grants you, and you hereby accept, a non-exclusive license to install the Access Software on one or more systems, provided the use of the Software remains in compliance with the terms of the license Agreement, and provided that you use the Access Software for the sole purpose of accessing the Flipper Graph Demonstration Web Service.

ProWorks is not "selling" or "giving" you its software. Instead, upon your acceptance of this Agreement and your fulfillment of the usage requirements, ProWorks is granting you the right to use its Software through this license Agreement. ProWorks retains all ownership of its software including all copies of its software. You agree to only use the Software in accordance with this Agreement.

DISTRIBUTION

You may not resell or otherwise distribute the Software, in whole or in part, without the express written consent of ProWorks. You may not use the Software to publish a web service that substantially replicates the functionality of this Software. A license agreement to resell, distribute or publish this Software, in whole or in part, must be covered under a separately negotiated agreement with ProWorks.

DISCLAIMER

The Software is provided "as is" without any kind of warranty. You should not rely on this Software for any purpose other than evaluation. It is your responsibility to determine whether the Software is suitable for your purpose. By accepting this agreement you agree to hold ProWorks harmless for any damage or claims arising out of your use of this Software.

The Software is provided to you under this license Agreement for demonstration purposes only. ProWorks reserves the right to discontinue the availability of the Flipper Graph Demonstration Web Service and/or modify the interface at any time without notice, and by offering this demonstration Software makes no commitment to offer such a web service in the future, either as a product or as a demonstration.
